User Terms and Conditions

These User Terms and Conditions ( “Terms” ) govern our relationship with users and others who interact on Techsta, or use other K2 brands, products and services (collectively the “Techsta Services” or “Services”). By using or accessing the Techsta Services, you agree to these Terms, as updated from time to time. 

Because Techsta provides a wide range of Services, we may ask you to review and accept supplemental terms that apply to your interaction with a specific app, product, or service. To the extent those supplemental terms conflict with these Terms, the supplemental terms associated with the app, product, or service govern with respect to your use of such app, product or service to the extent of the conflict.

By “Techsta” or  “Techsta Services” we mean the features and services we make available on Techsta, including through (a) our website at www.k2partnering.com and any other Techsta branded or co-branded websites (including sub-domains, international versions, widgets, and mobile versions); (b) our Platform; (c) social plugins such as the Like button, the Share button and other similar; and (d) other media, brands, products, services, software (such as a toolbar), devices, or networks now existing or later developed. Techsta reserves the right to designate, in its sole discretion, that some of its own brands, products, or services  may be governed by separate terms and not these Terms.

  • By “Platform” we mean a set of application platform interfaces (“API”) and services (such as content) that enable others, including application developers and website operators, to retrieve data from Techsta or provide data to us.
  • By “Information” we mean facts and other information about you, including actions taken by users and non-users who interact on Techsta and on other APIs.
  • By “Content” we mean anything you or other users post, provide or share using Techsta Services.
  • By “Data” or “User Data” or “User’s Data” we mean any data, including a user’s content or information that you or third parties can retrieve from Techsta or provide to Techsta through the Platform.
  • By “Post” we mean posts on Techsta or otherwise made available by using Techsta.
  • By “Use” we mean use, run, copy, publicly perform or display, distribute, modify, translate, and create derivative works.
  • By “Application” we mean any application or website that uses or accesses the Platform, as well as anything else that receives or has received data from us. If you no longer access the Platform but have not deleted all data collected from us, the term Application will apply until you delete the data.
  • By “Trademarks” we mean the registered and unregistered trademarks of K2 Partnering Solutions Holding Co Limited and Kili Topco Limited  (the “Parent Company”) listed.

Your privacy is very important to us. Our Global Privacy Notice (https://k2partnering.com/data-protection-and-privacy-policy/) provides information on how you can use Techsta to share with others and how we collect and use your content and information. 

Rightful use of the Techsta Services

  1. You will not develop or operate a third-party application containing alcohol-related, dating or other mature content (including advertisements).
  2. You will not use Techsta to do anything unlawful, misleading, malicious, or discriminatory.
  3. You will not do anything that could disable, overburden, or impair the proper working or appearance of Techsta, such as a denial of service attack or interference with page rendering or other Techsta functionality.
  4. You will not facilitate or encourage any violations of this Agreement or our policies.
  5. You own all of the content and information you post on Techsta, and you can control how it is shared through your privacy and application settings.

5.1 In addition, for content which is covered by intellectual property rights, like business information, market intelligence, photos, and videos (IP content), you specifically give us the following permission, subject to your privacy and application settings: you grant us a non-exclusive, transferable, sub-licensable, royalty-free, worldwide, perpetual license to use any IP content that you post on, or in connection with, K2 and Techsta (IP License).

5.2 When you delete IP content, this is deleted in a manner similar to emptying the recycle bin on a computer. However, you understand that removed content may persist in backup copies for a reasonable period of time (but will not be available to others).

5.3 When you use an application, the application may ask for your permission to access your content and information as well as content and information that others have shared with you.

5.4 When you publish content or information using the Public setting, it means that you are allowing everyone, including Techsta personnel, to access and use that information, and to associate it with you (i.e. your name and profile picture).

We always appreciate your feedback or other suggestions about Techsta, but you understand that we may use your feedback or suggestions without any obligation to compensate you for them (just as you have no obligation to offer them).

We do our best to keep Techsta safe, but we cannot guarantee this. We need your help to keep Techsta safe, which includes the following commitments by you:

  1. You will not post on Techsta, or send to Techsta users, unauthorized commercial communications (such as spam).
  2. You will not collect Users’ content or information, or otherwise access Techsta, using automated means (such as harvesting bots, robots, spiders, or scrapers) without our prior permission.
  3. You will not engage in unlawful multi-level marketing, such as a pyramid scheme on Techsta.
  4. You will not upload viruses or other malicious codes.
  5. You will not solicit login information or accessing an account belonging to someone else.
  6. You will not bully, intimidate, or harass any user and / or Techsta employee or business associate.
  7. You will not post content (including linked websites) that: is offensive, threatening, or pornographic; incites violence; or contains nudity or graphic or gratuitous violence. 
  8. If you repeatedly infringe other people’s intellectual property rights, or otherwise contravene our policies, we reserve the right to disable your account.
  9. You will not use our copyright material, Trademarks or any confusingly similar marks, except as expressly permitted by us with our prior written permission.
  10. If you collect information from users, you will: obtain their consent, make it clear you (and not Techsta) are the one collecting their information, and post a privacy policy explaining what information you have collected and how you will use it.
  11. You will not post on Techsta anyone’s personal information without their consent, including identification documents or sensitive financial information.
  12. You will not tag users or send mass email invitations to non-users without their consent. Techsta offers social and professional reporting tools to enable users to provide feedback about tagging.
  13. You will provide your real names and information, including, but not limited to,  applicable company formation/registration, details such as passport, insurance policies, Date of birth, Gender, Marital status, Job history (including information relating to placements through us), Educational history, qualifications & skills, Visa and other right, to work or identity information, Passport/identity card and photograph, Bank details, National insurance and/or tax (for example payroll) information, income related information such as your current remuneration, pensions and benefits arrangements, next of kin and family details, contact details of referees, personal information relating to hobbies, interests and pastimes, Information contained in references and pre-employment (such as criminal records) checks from third parties, other sensitive personal information such as health records (see ‘Sensitive Personal Data’ section below), Information on your interests and needs regarding future employment, both directly and inferred, for example from jobs viewed or articles read on our website, extra Information about you that you or your referees choose to tell us or the client chooses to tell us about you, or that we find from other third party sources such as job sites, IP addresses, dates, times and frequency with which you access our services, Information on your interests and needs regarding future employment, both directly and inferred, for example from jobs viewed or articles read on our website.

Here are some commitments you make to us relating to registering and maintaining the security of your account:

  1. You will not provide any false personal information on Techsta, or create an account for anyone other than yourself without our permission.
  2. You will not create more than one personal account.
  3. If we disable your account, you will not create another one without our permission.
  4. You will not use community features such as discussion groups and messaging for your own commercial purposes such as advertising or soliciting.
  5. You will not use Techsta if you are under the age of 16.
  6. You will not use Techsta for any illegal or immoral purposes.
  7. You will keep your contact information accurate and up-to-date.
  8. You will not share your password, let anyone else access your account, or do anything else that might jeopardize the security of your account.
  9. You will not transfer your account (including any page or application you administer) to anyone without first getting our written permission. 
  10. If you select a username or similar identifier for your account or page, we reserve the right to remove or reclaim it, if we believe it is appropriate to do so (such as when a trademark owner complains about a username that does not closely relate to a User’s actual name).
  11. You will not facilitate or encourage any violations of these Terms or our policies.
  12. You will not post content or take any action on Techsta that infringes or violates someone else’s rights or otherwise violates any laws.
  13. We can remove any content or information you post on Techsta if we believe that it violates these Terms, our policies, or any applicable law. We respect other people’s rights, and expect you to do the same. If we remove your content on the basis that we believe that it infringes someone else’s intellectual property rights, and you believe we removed it by mistake, we will provide you with an opportunity to discuss this with us.

Techsta Services charges

  1. We currently provide our mobile services for free, but please be aware that your mobile phone carrier’s normal rates and fees, such as text messaging and data charges, will still apply.
  2. In the event you change or deactivate your mobile telephone number, you will update your account information on Techsta within 48 hours to ensure that your messages are not sent to the person who acquires your old number.
  3. If you make a payment on Techsta, you agree to our payments terms, unless it is stated that other terms apply.
  4. If you are a developer or operator of a Platform application or website or if you use Social Plugins, you must comply with these Terms. 

Techsta Services goal

  1. The goal of Techsta is to deliver features that help create a professional community, facilitate work opportunities, provide talent and associated services. This may also include advertising and other commercial or sponsored content that is valuable to our users and advertisers. In order to help us do that, you agree to the following:


    1. You give us permission to use your name, profile picture, content, and information in connection with commercial, sponsored, or related content (such as a brand you like) served or enhanced by us.
    2. If you download or use our software, such as a stand-alone software product, an app, or a browser plugin, you agree that from time to time, the software may download and install upgrades, updates and additional features from us in order to improve, enhance, and further develop the software.
    3. You will not modify, create derivative works of, decompile, or otherwise attempt to extract source code from our software or third party software included on this Site, unless you are expressly permitted to do so under an open source license, or we give you express written permission.
    4. If we make changes to policies, guidelines or other terms referenced in or incorporated by this Agreement, we will endeavour to provide advance notice.
    5. Your continued use of the Techsta Services, following notice of the changes to our terms, policies or guidelines, constitutes your acceptance of our amended terms, policies or guidelines.

Miscellaneous

  1. We may stop providing all or part of Techsta to you if we believe that you are in breach of the terms of this Agreement or if we believe that your continued use of Techsta is likely to expose us to risk. We will notify you by email or at the next time you attempt to access your account.
  2. This Agreement and any disputes arising out of or in connection with its subject matter are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law provisions. Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with this Agreement or its subject matter or formation (including non-contractual disputes or claims). 
  3. If anyone brings a claim against us related to your actions, content or information on Techsta, you will indemnify and hold us harmless from and against all damages, losses, and expenses of any kind (including reasonable legal fees and costs) related to such claim. Although we provide rules for user conduct, we do not control or direct users’ actions on Techsta and we are not responsible for the content or information users transmit or share on Techsta.
  4. We are not responsible for any offensive, inappropriate, obscene, unlawful or otherwise objectionable content or information you may encounter from other users on Techsta.
  5. We are not responsible for the conduct, whether online or offline, of any user of Techsta rendering or other Techsta functionality.
  6. WE TRY TO KEEP TECHSTA UP, BUG-FREE, AND SAFE, BUT YOU USE IT AT YOUR OWN RISK. WE ARE PROVIDING TECHSTA ‘AS IS’ WITHOUT ANY EXPRESS OR IMPLIED WARRANTIES INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT TECHSTA WILL ALWAYS BE SAFE, SECURE OR ERROR-FREE OR THAT TECHSTA WILL ALWAYS FUNCTION WITHOUT DISRUPTIONS, DELAYS OF EMPLOYEES AND AGENTS OR OTHERWISE, OR THAT TECHSTA WILL BE FREE FROM ANY CLAIMS AND DAMAGES, KNOWN AND UNKNOWN, ARISING OUT OF OR IN ANY WAY CONNECTED WITH ANY CLAIM YOU HAVE AGAINST ANY SUCH THIRD PARTIES.
  7. IF APPLICABLE LAW DOES NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY OR INCIDENTAL OR CONSEQUENTIAL DAMAGES,  THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU. IN SUCH CASES, TECHSTA‘S LIABILITY WILL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW. 
  8. TECHSTA IS NOT RESPONSIBLE FOR THE ACTIONS, CONTENT, INFORMATION, OR DATA OF THIRD PARTIES, AND YOU RELEASE US, OUR DIRECTORS, OFFICERS, FROM ANY LIABILITY IN THIS RESPECT. 
  9. These Terms constitute the entire Agreement between the parties regarding Techsta, and supersedes any prior agreements. If any portion of these Terms are found to be unenforceable, the remaining portion will remain in full force and effect.
  10. If we fail to enforce any of these Terms, it will not be considered a waiver of our rights hereunder. Any amendment to or waiver of these Terms must be made in writing and signed by us. You will not transfer any of your rights or obligations under these Terms to anyone else without our consent.
  11. All of our rights and obligations under these Terms are freely assignable by us in connection with a merger, acquisition, or sale of assets, or by operation of law or otherwise. Nothing in these Terms shall prevent us from complying with the law.
  12. Under these Terms no person who is not a party to these Terms shall have any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any terms of this Agreement. This does not affect any other right or remedy of a third party which exists, or is available, unrelated to the Contracts (Rights of Third Parties) Act 1999.
  13. The rights of the parties to terminate, rescind or agree any variation, waiver or settlement under these Terms are not subject to the consent of any other party.
  14. We reserve all rights not expressly granted to you. The rights and remedies provided under these Terms are in addition to, and not exclusive of, any rights or remedies provided by law.
